Terms and Conditions (T&C)

Julius-Globe Ltd. – B2B Webshop for Stock and Materials

Effective from: 1 April 2026. Language of the GTC: English. The Seller reserves the right to amend these GTC; amendments take effect upon publication in the webshop.


1. Introductory Provisions and Scope

These General Terms and Conditions (“GTC”) apply to purchases made through the webshop (hereinafter: “Webshop”) operated by Julius-Globe Private Limited Company (hereinafter: “Seller”). By placing an order in the Webshop, the Buyer confirms that they have read and accepted these GTC.

The Webshop is accessible exclusively to businesses (legal entities, business associations without legal personality, and sole traders). Consumers may not make purchases in the Webshop.

3. Definitions

3.1. GTC: these General Terms and Conditions.

3.2. Seller: the operator of the Webshop (Julius-Globe Ltd.).

3.3. Buyer: a business purchasing in the Webshop (not a consumer).

3.4. Product: goods listed in the Webshop (in particular surplus stock, raw materials, semi-finished or used metal industry products).

3.5. Order: a purchase intent submitted electronically by the Buyer.

3.6. Confirmation: an e-mail sent by the Seller acknowledging receipt of the order (automatic) and/or confirming its acceptance (individual).


4. Use of the Webshop and Verification of Buyer Eligibility

A condition of purchase is the provision of data verifying business status (in particular company name, registered address, tax number and billing details). The Seller is entitled to verify the Buyer’s business status and, in case of doubt, to reject the order or request further documentation. If it subsequently transpires that the order was placed by a consumer, the Seller is entitled to withdraw from the contract and refuse performance.


5. Formation of the Contract

An order placed in the Webshop constitutes an offer. The contract is formed upon the Seller’s individual (not merely automatic) confirmation. The automatic confirmation solely acknowledges receipt of the order and does not constitute acceptance.

The Seller may reject an order without providing reasons, in particular in cases of stock shortage, manifest pricing error, or lack of Buyer eligibility.


6. Prices, Invoicing and Manifest Pricing Errors

Prices listed in the Webshop are net prices as a general rule and do not include value added tax, unless the product page expressly states otherwise. The total amount payable is displayed on the basket/checkout screen.

In the event of a manifest pricing error – including in particular a price that is unrealistically low or incorrectly listed and immediately recognisable as such by the Buyer in comparison to the market value of the product – the Seller is not obliged to fulfil the order, even if an automatic confirmation has been sent. No contract is formed on the basis of such an order.


7. Payment Methods

Payment methods available in the Webshop include in particular: (i) cash on delivery (cash/card with the courier), (ii) bank transfer (advance payment), (iii) card payment (e.g. via Stripe). The Seller may make performance conditional upon receipt of payment.


8. Delivery, Receipt and Performance Deadline

Delivery options include courier delivery and – where provided by the Seller – personal collection. The Seller may also offer alternative delivery methods (e.g. Hungarian Post courier service) as non-preferred options. Specific delivery charges and conditions are displayed on the checkout screen.

Risk of loss passes to the Buyer upon delivery of the Product. The Buyer is obliged to inspect the packaging upon receipt, and in the event of damage, to have a report drawn up with the carrier and notify the Seller without delay.

The performance deadline is specified in the confirmation. The Seller is entitled to unilaterally modify the performance deadline due to force majeure or stock/capacity reasons; the Buyer will be notified without delay.


9. Partial Performance, Stock Shortage and Order Rejection

The Seller is entitled to partially fulfil an order (partial delivery) or to reject an order in whole or in part due to stock shortage or other objective reason. Partial performance requires prior notification to the Buyer; in the case of advance payment, the Seller will refund the value of unfulfilled items.


10. Product Information, Images and Descriptions

The Seller endeavours to ensure that product information (name, characteristics, size, material quality, quantity, price, availability) is accurate and up to date. Images on product pages may in certain cases be for illustrative purposes only and may differ from the actual product (e.g. surface condition, colour shade, packaging). The Seller accepts no liability for changes to technical specifications or supplier data referenced by the Buyer that occur without prior notice and fall outside the Seller’s control.


11. Additional Disclaimer – Used / Surplus Products

The Buyer expressly acknowledges that Products sold in the Webshop are typically used, surplus, clearance or otherwise non-first-class industrial materials and products. The Seller accepts no liability for the suitability of such Products for the Buyer’s specific intended use, integration into manufacturing processes, resale or use by third parties.

The Buyer acquires the Products as a business user, at its own risk, and is solely responsible for independently verifying their conformity, technical parameters, processability and regulatory compliance (in particular from a health and safety, environmental and waste management perspective).

The Seller expressly excludes all liability for damage arising from the Buyer’s use of a Product in a non-intended manner, in an unsuitable technical environment, or in disregard of limitations inherent to the nature of the Product.


12. Warranty, Guarantee and Claims

The parties acknowledge that this contract is a business-to-business contract; rules applicable specifically to consumer contracts (in particular the right of withdrawal without cause under Government Decree 45/2014 (II.26.)) do not apply.

The Seller does not provide a guarantee. Warranty claims may only be made in accordance with the rules of the Hungarian Civil Code, having regard to the nature of the Product. The Buyer is obliged to report any defect in writing without delay upon discovery, and to provide evidence of the existence and cause of the defect.


13. Limitation of Liability

The Seller’s liability is limited to the fullest extent permitted by applicable law. The Seller shall not be liable for indirect damages, loss of profit, production losses or claims by third parties. Exclusion of liability for wilful misconduct shall not be valid.


14. Force Majeure, Maintenance and Webshop Availability

The Seller is entitled to carry out maintenance and development of the Webshop, during which the Webshop may be partially or fully unavailable. The Seller accepts no liability for the unavailability or limited operation of the Webshop in cases of force majeure (e.g. natural disaster, strike, cyberattack) or technical failures attributable to telecommunications/internet service providers or hosting providers.


15. Data Processing

The Seller processes data provided by the Buyer for the purpose of performing the contract and fulfilling its statutory obligations. Detailed data processing rules are set out in the Privacy Policy, which is accessible from the Webshop.


16. Final Provisions

These GTC are governed by Hungarian law, in particular Act V of 2013 on the Civil Code and Act CVIII of 2001 on Electronic Commerce Services.

The parties shall endeavour to resolve any disputes primarily through negotiation; should this prove unsuccessful, the court having jurisdiction at the Seller’s registered seat shall have exclusive jurisdiction – depending on the value and subject matter of the claim – unless otherwise required by law.

Should any provision of these GTC be invalid or unenforceable, this shall not affect the validity of the remaining provisions.
